These Terms and Conditions ("Terms") govern your use of the website aaryasale.com and any purchase of products or services from Aarya Sales, New Delhi, India. By accessing our website or placing an order with us, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. About Aarya Sales

Aarya Sales is an industrial components trading company based in New Delhi, India, engaged in the supply of industrial valves, bearings, and related products to businesses across India. We operate as a business-to-business (B2B) supplier. All sales are made for commercial and industrial use only.

2. Use of the Website

• This website is intended for business enquiries, product information, and quotation requests. It is not an e-commerce platform and does not process online payments.
• You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others.
• You must not misuse our website by introducing viruses, malicious code, or conducting any form of attack against it.
• We reserve the right to restrict or terminate access to the website at our discretion without notice.

3. Quotations & Orders

• All quotations issued by Aarya Sales are valid for the period stated on the quotation document. In the absence of a stated validity, quotations are valid for 15 days from the date of issue.
• Prices quoted are exclusive of GST, freight, and insurance unless explicitly stated otherwise.
• An order is considered confirmed only upon receipt of a written Purchase Order (PO) accepted by Aarya Sales and issuance of an Order Acknowledgement.
• We reserve the right to decline or cancel any order at our discretion, including where products are unavailable or where pricing errors have occurred.
• Product specifications, dimensions, and technical details are subject to manufacturer tolerances and may vary slightly from catalogue data.

4. Pricing & Payment

• All prices are in Indian Rupees (INR) and are subject to change without notice until a formal quotation is issued.
• Payment terms are as agreed in the purchase order or proforma invoice. Standard terms are advance payment or as mutually agreed for ongoing customers.
• Goods will be dispatched only upon receipt of confirmed payment or as per agreed credit terms.
• Late payment may attract interest at 18% per annum or as specified in the invoice.
• All applicable taxes, duties (GST, customs, etc.), and levies are the buyer's responsibility.

5. Delivery & Dispatch

• Delivery timelines are estimates only and are not guaranteed. Lead times depend on manufacturer stock availability and logistics conditions.
• Risk of loss or damage passes to the buyer upon handover to the carrier or upon ex-works dispatch, unless otherwise agreed.
• Aarya Sales is not responsible for delays caused by force majeure events, supplier delays, customs clearance, or logistics disruptions.
• Freight and insurance costs are to the buyer's account unless explicitly stated as included in the quotation.
• Partial deliveries may be made where agreed or where items are available in stages.

6. Inspection & Acceptance

• The buyer is responsible for inspecting goods upon receipt. Any shortages, visible damage, or discrepancies must be reported to Aarya Sales in writing within 48 hours of delivery.
• Failure to notify within this period will constitute acceptance of the goods as delivered.
• Where third-party inspection (TPI) is required, it must be specified at the time of order placement. Additional TPI charges apply.

7. Returns & Cancellations

• Orders once confirmed and in production or dispatch cannot be cancelled without mutual written agreement.
• Cancellation charges may apply depending on the stage of the order. For manufactured or imported items, cancellation may not be possible.
• Returns are accepted only for products that are defective, damaged in transit, or incorrectly supplied, and must be authorised by Aarya Sales in writing before return.
• Products that have been installed, used, or modified are not eligible for return.

8. Warranty

• All products are supplied with the manufacturer's standard warranty, typically 12 months from date of dispatch or as stated in the product documentation.
• Warranty covers manufacturing defects only. It does not cover damage due to improper installation, misuse, overloading, exposure to incompatible media, or normal wear and tear.
• Aarya Sales' liability under any warranty claim is limited to replacement or credit for the defective product. We are not liable for consequential losses, downtime, or indirect damages.

9. Intellectual Property

All content on this website — including text, images, logos, product descriptions, and design — is the property of Aarya Sales or its content suppliers and is protected under applicable intellectual property laws. You may not reproduce, distribute, or use any content from this website without prior written permission.

10. Limitation of Liability

To the fullest extent permitted by law, Aarya Sales shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of this website or the products supplied, including but not limited to loss of profits, business interruption, or plant downtime. Our total liability in any matter shall not exceed the value of the specific order in dispute.

11. Governing Law & Jurisdiction

These Terms and all transactions with Aarya Sales are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. We encourage resolution of disputes through good-faith negotiation before legal action.

12. Changes to These Terms

Aarya Sales reserves the right to update or modify these Terms at any time. Changes will be published on this page with an updated "Last updated" date. Continued use of the website or business dealings after such changes constitutes your acceptance of the revised Terms.
